Malaysia Brand Day (MBD) implementing a due diligence process for exhibitors is crucial to maintain the integrity and quality of the event.
Here’s a structured process flow for checking each exhibitor, including the company, directors, branding story, and logo design.
MBD Exhibitor Due Diligence Process Flow
Step 1: Exhibitor Application Submission
- Online application form submission with required documents.
- Initial screening for completeness.
Documents Required:
- Company registration (SSM, Form 9, 24, 49)
- Director NRIC copies
- Company profile / brochure
- Brand story (write-up or video)
- Logo (AI/PNG format)
- Product/service catalogue
- Relevant certificates (e.g. Halal, ISO, GMP, Trademark)
Step 2: Company Background Check
- SSM Verification – Check legal registration, nature of business, shareholding structure.
- Business Validity – Ensure the company is active and not under deregistration.
- Financial Standing (Optional/If Necessary) – Bankruptcies, legal cases, tax issues (e.g. CTOS,
MyEG). - Licensing/Permit Check – Confirm business license or any required permits for operation.
Step 3: Director Background Screening
- Identify All Directors/Shareholders – Cross-check with SSM records.
- Blacklist Check – Ensure directors are not blacklisted or involved in fraud/litigation.
- PEP Check (Politically Exposed Person) – Flag any politically sensitive individuals (if needed).
- Director’s Business Reputation – Google/social media scan for red flags.
Step 4: Branding Story Evaluation
- Authenticity – Check if the story is original, not copied, and aligned with real business
milestones. - Alignment with MADANI Values – Innovation, sustainability, community impact, economic
growth, governance. - Storytelling Quality – Clarity, emotional engagement, relevance to Malaysia branding narrative.
Step 5: Logo & Visual Identity Screening
- Logo Design Quality – Check for professionalism, originality, clarity in both print and digital.
- Trademark Status – Is the logo registered with MyIPO? If not, advise registration.
- No IP Violation – Ensure it doesn’t resemble another brand or infringe trademarks.
- Cultural/Religious Sensitivity – Ensure no offensive elements or misused symbols.
Step 6: Product/Service Validation
- Authenticity – Product should be owned or developed by the company, not dropshipping or
reselling. - Local Origin – Preferably Malaysian-made or based.
- Certifications – Halal, Organic, MESTI, etc. where applicable.
- Quality Check – (optional) Sampling, user reviews, or past track record.
Updated Due Diligence Adjustments for OEM/Distributor Products
Applicable Scenarios:
- OEM from China – Product is manufactured in China but sold under a Malaysian brand.
- Main Distributor – Malaysian company is the principal distributor or exclusive agent.
Checkpoints for OEM Products:
- Brand Ownership – Confirm the Malaysian company owns the brand trademark (even if
production is outsourced). - OEM Agreement – Request a contract or proof of OEM manufacturing arrangement (can be
redacted for confidentiality). - Trademark or Brand Application Proof – Even if not yet registered, evidence of filing with
MyIPO is sufficient. - Repackaging or Value Add – Verify that the brand adds local value (e.g. QC, packaging,
after-sales service, R\&D).
Checkpoints for Main Distributors:
- Exclusive Distribution Agreement – Must show documentation of exclusive distributorship
or main agency rights. - Malaysia-Based Operations – Ensure marketing, customer service, or warehousing is
operated from Malaysia. - Branding Localisation – Check that the exhibitor has localized branding strategy (website,
materials in BM/ENG, etc.). - Sales & Market Development – Distributor should show active efforts to grow the brand
locally (events, partnerships, etc.).
Scoring Guidance:
OEM/Distributors can be accepted if they demonstrate:
- Clear Malaysian brand ownership or exclusive rights
- Value-add or contribution to Malaysia’s economy/market
- Alignment with MADANI goals (e.g., sustainability, innovation, governance)
